Agree with you Mark.

Sections 15 and 17 of the Bylaws provide clarification of roles and expectations.
 
Unless the board disagrees with the bylaws and micromanages the CEO, the CEO oversees the day-to-day operations once the board approves annual plans, budgets and other macro strategies.

One expects the CEO acting as the main point of communication.
