I have personally taken note of the inherent conflicts that you
highlighted in your note and it will guide my activities as the

I do not need to rehash the fact that the community through the
NOMCOM seeks out matured and responsible members to serve on the

Please correct me if I made any wrong assumption with the
following summary of your suggestion:<br clear="none">
1) The Chair of the Board should serve for not more than 2 years

2) In the year a Director is (probably) up for re-election, don't
elect them Chair or Vice.<br clear="none">

is not in the by-laws.<br clear="none">

We can however, state how things actually work. It seems that you are
basing your judgement on how you think they work, not how they actually
work.
Is that way consolidating the trust we need in our community?
After the events we have gone through last days (no need to go back), it's
our responsability to see how we can ensure that the community keep trust
in the BOD.
I don't think it will be wise just to sweep it away.
Kind Regards.

<pre>Hello Andrew,
We are a community and each one of us can bring his stone to build it.
I humbly think that trust is critical to the survival of AfriNIC and the
events we have gone through last days has affected this critical pillar.
We don't have so much time to spend going back and forth on this but to
prevent community members being shouted down or misled, here is a comment :
A new board member can be as good or better chairs depending on their
involvement in Afrinic so suggesting an issue exists with appointing new
members as chairman is an attempt to exclude and create class structure
among board members .
Irrespective of what bylaws say the board and it's chairs have
oversight of all committees and all deliberations in practice even if it's
in a hands off manner.

</blockquote>
<pre>As a former NomCom Chair, I can tell you that this is not the case. When
I sat on the Nominating Committee, the Board had zero input into
deliberations. The elections and Nominations processes are reported to the
Board, but the Board does not provide "oversight".

<pre>A sitting chairman with divided attention (board work and his election

It is constructive proposal to establish the governance committee and
these discussions further illustrate the need.
We can't sweep it away.
