trust is critical to the survival of AfriNIC and the events we have gone
through last days has affected this critical pillar.</span></p>
<p class="MsoNormal"><span style="mso-ansi-language:EN-US">We don't have so much
time to spend going back and forth on this but to prevent community members
being shouted down or misled, here is a comment :</span></p>
<p class="MsoNormal"><span style="mso-ansi-language:EN-US">A new board member can
be as good or better chairs depending on their involvement in Afrinic so
suggesting an issue exists with appointing new members as chairman is an
attempt to exclude and create class structure among board members . </span></p>
<p class="MsoNormal"><span style="mso-ansi-language:EN-US">Irrespective of what
bylaws<span style="mso-spacerun:yes"> </span>say the board and it's chairs
have oversight of all committees and all deliberations in practice even if it's
in a hands off manner.</span></p>
<p class="MsoNormal"><span style="mso-ansi-language:EN-US">A sitting chairman
with divided attention (board work and his election campaign) cannot be better
than a chairman focused on only board work.</span></p>
<p class="MsoNormal"><span style="mso-ansi-language:EN-US">It is constructive
proposal to establish the governance committee and these discussions further
illustrate the need. <br></span></p><p class="MsoNormal"><span style="mso-ansi-language:EN-US">We can't sweep it away.</span></p><p class="MsoNormal"><span style="mso-ansi-language:EN-US"><br></span></p>

<div><span style="font-size:11.0pt">Firstly, let me respond to the comments about continuity. The chair of the board in a normal situation is there to chair the meetings,
and is there to act as the voice of the board before the community. Everything the chair knows is shared with the rest of the board, board meetings are minuted and the rotation of the board and the way we do it already provides continuity. I would say that
if we were to appoint a brand new member of the board as chair, there could be an issue, but providing that whoever is appointed chair has been on the board for a year or more, I fail to see the issue here, since each member of the board should be completed
versed in the workings of the board.</span></div>

<div><span style="font-size:11.0pt">With regards to your second point about oversight on their own elections. This is actually fundamentally inaccurate.

<div><span style="font-size:11.0pt">Firstly, the nominations are overseen by the nominations committee, which has a single board representative on the committee. Under
section 9.1 of the bylaws, no person who is domiciled in a region who’s seat is open for renewal or is a candidate for election is eligible for a seat on this committee. As an example, using the sitting board members and the regions, by section 9.1 of the
bylaws, no person in any country falling under the West Africa or North Africa regions (which include the chair and the vice chair), or anyone standing for an independent seat is eligible to be on the NomCom.</span></div>
<div><span style="font-size:11.0pt"> </span></div>
<div><span style="font-size:11.0pt">Secondly, the elections are NOT overseen by the chair of the board. The elections themselves are overseen by the Elections Committee,
which comprises of staff members of AfriNIC as designated by the Chief Executive Officer (section 10 of the bylaws). As such, the board has no role in the election committee, its composition or its function.</span></div>

I would like to share with members some facts.</div>

<div><span style="font-size:10.0pt">I've observed that both chairman and vice chairman's terms expire at same time that is next AGM in June 2016

<div><span style="font-size:10.0pt">Though it may be unlikely that if none get reelected, common sense, good practice and Business Continuity would suggest
different way where at least one of the two is on seat during beyond June 2016.
</span></div>
<div><span style="font-size:10.0pt">This also means that the chairs will have oversight of their own election raising more accountability challenges.</span></div>
<div><span style="font-size:10.0pt">In the recent discussion about how previous chair and vice got swapped during AFRINIC 21 ( November 2014), one of the
reasons cited was for smooth transition.</span></div>
<div><span style="font-size:10.0pt">It now appears that this has not been followed and openining a door to not following established principles .</span></div>

<div><span style="font-size:10.0pt">This might be a good reason to get the Governance Committee established to advise on such cases.</span></div>
