
<!DOCTYPE html PUBLIC "-//W3C//DTD HTML 4.01 Transitional//EN"><html><head><meta content="text/html;charset=UTF-8" http-equiv="Content-Type"></head><body ><div style="font-family: Verdana, Arial, Helvetica, sans-serif; font-size: 10pt;"><p class="p1"><span class="s1">Dear AfriNIC Board,</span><br></p><p class="p2"><span class="s1">Africa On Cloud (hereafter referred to as "The Party") wishes to raise formal objection to the</span><span class="s2"> </span><span class="s1">notice of meeting issued for the AfriNIC Annual General Members meeting.</span><br></p><p class="p1"><span class="s1">The notice of meeting is deficient in that:<span class="Apple-converted-space"> </span></span><br></p><p class="p1"><span class="s1">a.) It does not include an ordinary resolution to adopt the financials as is required by clause 7.6.i of the bylaws<br>b.) It does not include an ordinary resolution to appoint the auditors as required by clause <a href="http://7.6.iv/" target="_blank"><span class="s3">7.6.iv</span></a> of the bylaws<br>c.) The notice of meeting indicates the closure of an election which is never opened on the agenda</span><br></p><p class="p2"><span class="s1"><br>As such, while representatives of The Party will be present at the annual general members meeting, it is under</span><span class="s2"> </span><span class="s1">protest as to the irregularity of the meeting and The Party gives no waiver as to the irregularities cited above.</span><br></p><p class="p2"><span class="s1">It refer to section 12.3 of the bylaws</span><br></p><p class="p2"><span class="s1">12.3) Any irregularity in a notice of an Annual General Member Meeting shall be waived where all the members entitled to attend and vote at the Annual General Members’ Meeting attend the said Meeting without protest as to the irregularity, or where all members agree to the waiver.</span><br></p><p class="p2"><span class="s1">Yours Sincerely</span><br></p><p class="p1"><span class="s1">Paul Wollner<br>CEO<br></span><span class="s2">Africa On Cloud</span><br></p><div><br></div></div><br></body></html>
