<p class="MsoNormal"><span style="mso-fareast-language:EN-US">It’s really simple – The AFRINIC bylaws allow for limited recourse – again and I state this clearly – members in AfriNIC because of the way it is structured hold surprisingly little sway in the organisation.
Please keep in mind – the board effectively “owns” the company – it was this community that chose to reject the bylaws amendments that would have resolved the governance issues and put far more power in their hands – a decision by this community that I have
never understood and never will – but a decision that this community must now live with.<o:p></o:p></span></p>
<p class="MsoNormal"><span style="mso-fareast-language:EN-US"><o:p> </o:p></span></p>
<p class="MsoNormal"><span style="mso-fareast-language:EN-US">The current status quo as I read it is as follows (and I am no lawyer, but, I have studied the bylaws into infinitum and also studied the companies act with incredible care before drawing the conclusions
that I come to here):<o:p></o:p></span></p>
<p class="MsoNormal"><span style="mso-fareast-language:EN-US"><o:p> </o:p></span></p>
<p class="MsoNormal"><span style="mso-fareast-language:EN-US">The board can appoint new board members – to fill casual vacancies – that is permissible under both the companies act and the bylaws. There are no limitations as to who they can appoint – or any
criterion used in those appointments – other than the fact that the person has to qualify under Mauritian law to hold a directorship (and those criteria are listed in section 13.10 of the bylaws)<o:p></o:p></span></p>
<p class="MsoNormal"><span style="mso-fareast-language:EN-US"><o:p> </o:p></span></p>
<p class="MsoNormal"><span style="mso-fareast-language:EN-US">The board is quorate to hold board meetings – with or without these appointments.<o:p></o:p></span></p>
<p class="MsoNormal"><span style="mso-fareast-language:EN-US"><o:p> </o:p></span></p>
<p class="MsoNormal"><span style="mso-fareast-language:EN-US">The board is not quorate to hold another AGMM – and the appointment of directors will not solve this. Additionally – even if they were to bring in the West African seat – the quorum problem would
not be resolved – the bylaws in section 12.10 are explicit that for an AGMM to be quorate – it requires 4 directors elected to represent a region, 1 director elected on a non-regional criteria and 5 resource members. Currently – we have two non-regional seats
occupied (Seun and Serge), 2 regional (SM and Christiaan Bope), and one Ex-Officio. If the western seat was granted – though I personally believe that would be entirely illegitimate, you still do not meet the required quorum for elected directors. Please
keep in mind that appointees to the board are not elected.<o:p></o:p></span></p>
<p class="MsoNormal"><span style="mso-fareast-language:EN-US"><o:p> </o:p></span></p>
<p class="MsoNormal"><span style="mso-fareast-language:EN-US">The board also cannot hold another election to solve this problem – section 13.4 of the bylaws is explicit that directors must be appointed by an *<b>annual</b>* general members meeting – which is
defined in the definition section – and as discussed above – there is no quorum for an annual general members meeting. There is no provision for election of directors at a special general meeting (for which it could be argued there is quorum.) This is also
reinforced by section 7.2(i) of the bylaws.<o:p></o:p></span></p>
<p class="MsoNormal"><span style="mso-fareast-language:EN-US"><o:p> </o:p></span></p>
<p class="MsoNormal"><span style="mso-fareast-language:EN-US">That leaves two options:<o:p></o:p></span></p>
<p class="MsoNormal"><span style="mso-fareast-language:EN-US"><o:p> </o:p></span></p>
<ol style="margin-top:0cm" start="1" type="a">
<li class="MsoListParagraph" style="margin-left:0cm;mso-list:l3 level1 lfo4"><span style="mso-fareast-language:EN-US">AfriNIC approaches the courts to get the courts to waive the bylaws and allow for a special general members meeting to elect directors to get
the quorum for an AGMM.<o:p></o:p></span></li><li class="MsoListParagraph" style="margin-left:0cm;mso-list:l3 level1 lfo4"><span style="mso-fareast-language:EN-US">At the next SGMM – the board convinces this community to pass a special resolution to amend the bylaws to allow for election of directors outside
of the AGMM – and then convenes another SGMM to elect directors. Considering that by law a special general members meeting requires specific notice periods – the members meeting to amend the bylaws would have to be held separately from the SGMM to elect the
directors – with a minimum of a two week gap I believe (I would need to double check the exact time frames), since they cannot put the election of directors onto the agenda until such time as the election of directors is actually permitted.<o:p></o:p></span></li></ol>
<p class="MsoNormal"><span style="mso-fareast-language:EN-US"><o:p> </o:p></span></p>
<p class="MsoNormal"><span style="mso-fareast-language:EN-US">Should AfriNIC attempt to use point (a) – they are required to inform the community before they do this – Section 3(vii) states that it is a fundamental objective of the board to disseminate to its
members information on ALL matters affecting the company and its members. At this point – I would argue that a failure to disclose an action related to point (a) would be in violation of the bylaws and quite probably would result in contestation – and should
(a) be attempted before (b) is – it would be a slap in the face to this community and a request to adjudicate on an issue that is in the members hands before the members had a chance to actually act on it – and were members to be aware of (a) before it happened
– again – I believe there would be contestation.<o:p></o:p></span></p>
<p class="MsoNormal"><span style="mso-fareast-language:EN-US"><o:p> </o:p></span></p>
<p class="MsoNormal"><span style="mso-fareast-language:EN-US">That is the current status quo – What I believe needs to happen is that an SGMM needs to be called – the bylaws amended – and a further SGMM needs to be called to elect directors. If the board fails
to pass the bylaw amendment required – then and only then does option (a) open itself up – and should option (a) fail – then AFRINIC itself is in a various precarious position – because by law the company is required to hold an AGMM within 6 months of the
date of financial closure – effectively meaning – AFRINIC has a clock ticking on it – because as of June next year – they will be unable to fulfil the requirements of the companies act.<o:p></o:p></span></p>
<p class="MsoNormal"><span style="mso-fareast-language:EN-US"><o:p> </o:p></span></p>
<p class="MsoNormal"><span style="mso-fareast-language:EN-US">I would also argue that point (b) is an opportunity – because there are MANY issues that need fixing in the bylaws – and I would argue that to pass the amendment required – the membership is almost
certainly going to demand that other changes aside from just the amendment that makes it possible to elect more directors are passed in the same resolution. Keeping in mind – it requires a super majority vote of 75% of the members to modify the bylaws.
<o:p></o:p></span></p>
<p class="MsoNormal"><span style="mso-fareast-language:EN-US"><o:p> </o:p></span></p>
<p class="MsoNormal"><span style="mso-fareast-language:EN-US">I would also say that the divides in this community that we see – with the constant attacks and bitterness – specifically framed on linguistic and geopolitical base – are going to need to come to
an end. If we as a community do not bind together – the 75% majority will never be reached – and if we vote based not on the good of the company – but rather based on who is carrying the message and where they come from, the language they speak, or the fact
that we just don’t plain like someone, then we will have only ourselves to blame when we doom AfriNIC.<o:p></o:p></span></p>

<b>9.2 Paper Ballot on Election Day</b><o:p></o:p></p>

The voting conducted during the Annual General Members' Meeting is carried out via paper ballots containing a list of candidate names and a ballot number. Prior to the vote, all members present or participants holding a proxy will be requested to register and
validate their membership status.<o:p></o:p></p>

The ballot paper should provide voters with the option to not vote for any candidate (a.k.a. "None of the Above").

This will be a secret ballot election. An inclusion of any personal data on the ballot paper will invalidate the vote and will be counted as spoilt.

The last amendment of the election guidelines introduced the voting option “ None of the Above”. –(Vide second bullet point above.)Those voters who have cast their votes for “ None of the Above” have done so in compliance with the prevailing constitution and
