Dear Community,

I provide the following comments, in line with the GovCom's request for
comments on the report to the community, regarding its advice to the Board.

Dear GovCom,

Thank you very much for the time you have taken to advise the board on this
matter. Specifically the problem that you state (Emphasis mine) as:




*The Situation at HandThere is a potential situation in which more than 3
Seats would have come up for election in the coming Annual General Members
Meeting of 2022 (AGMM 2022) and perpetually breaking the election sequence
in Seats for the regions as specified in the Articles 13.6 and 13.7.Whereas
the Board acted in its respective capacity, to ensure that the Seat for
Director to East Africa Region (Seat 6) was filled in September 2020.
However, instead of filling the seat via a casual vacancy, it conducted
elections for that seat prematurely, causing a situation in which the
Director would have completed the full tenure prior to the election
sequence as per Articles 13.6 and 13.7 of the Bylaws.*

My submission:

If the Board supervised the conduct of an election that was held
prematurely (with an erroneous tenure) and the tenure will end before the
next AGMM, the Board has two options, and I state them here below:

   a. Fix its own error. ie., Advise the Director that the tenure will end
earlier. In this case, since the election was held in September 2020, it
will still expire just before the AGMM in 2022, and not 2023 since it
should have been for a one or two year term, which concludes the term of
the previous occupant of the seat.

   b. Make a proposal to the members at the AGMM in 2022, on how to treat
this case, for members to approve. The treatment could be as simple as a
re-appointment till the conclusion of the AGMM in 2023, if the tenure must
not be truncated (due to some justifiable reason) by the AGMM in 2022.

My Justification:

Please note that more than three seats coming up for election at any given
year is not a problem. If there was Death, Fraud or any other improper
conduct, members are bound to leave the board and be replaced.

There is precedence in 2019, when 5 seats were filled in one single AGMM,
and I cannot recollect the heavens falling then.

I personally do not see this as a challenge that requires the deployment of
that amount of man-hours to come up with a solution that I (and probably
many more people I may not know) consider non-optimal.

Kindly take note of the following premises of a "members-friendly"
recourse, with the relevant sections in the AfriNIC Bylaws.

1. Directors elected per 13.4 (i) and 13.4 (ii) have a tenure of Three (3)
years. [Section 13.5]

2. The sequence of AfriNIC Board elections is inviolable, per section 13.6
of the bylaw unless waived at an AGMM, which has not been done. [Section
13.6]

3. The Board has the powers to fill casual vacancies. The Directors so
appointed as a result of a casual vacancy, have a tenure that is up to the
next AGMM. [Section 13.14]

4. The Power of Directors, as stated in Sections 15.3 i ...x does not
include the modification of tenure of Board members. This action  threads
upon the rights of members as enshrined in Articles 7.2 i, ii and  7.6 iv,
vi . Beyond filling casual vacancy to the next AGMM, the Board can do no
other thing, without recourse to members or conducting an election.

5. If there is any error in the tenure of Board members, or an anticipation
that there will be a problem in the some-time-of-tomorrow, the matter
should be brought to the AGMM which shall vote on the matter and decide
what the Board will do thereafter.

In conclusion, I note that in your report, you stated that:

*GovCom considers the recommendations made to the AFRINIC Board as final
and yet would welcome comments from the AFRINIC Members and Community at
large*

Your use of "Final" in this context is confusing to me, because from the
Charter of the Governance Committee

*4.2. Advice from the Governance Committee shall be non­binding, but
shall be duly considered by the Board, the Membership, or the community, as
the case may be.*

The Board thus has the liberty to take advice from many other sources on
the issue, apart from GovCom.

I have presented a different perspective to the matter, which follows the
bylaws, and also gives members the right to elect the type of people they
want as Directors, without the slightest recourse to Board arrogation of
powers or Judicial actions, which is unproductive and tiring for the entire
stakeholders.

I trust you and the entire community will find my comments useful.
