I am like others very concerned by the allegations about theft of IP addresses for gain. The silence of the organization and the community about these allegations sound incomprehensible. I urge the organisation to take the allegations very seriously, do the due diligence and inform the community on what we should know and expect. It is also important that the organisation put in place clear and transparent mechanisms for reporting of abuses, issues relating to the resources and trustable systems of dealing with reports and complaints... The Review proposal being discussed for the last 3 years should have created the conditions for actions in favour of collective stewardship of our resources. Perhaps the CEO needs to be given more leeway and authority when communicating with the community. I am sure the CEO can use his best judgment to determine when any information toward the public needs to go by the Board for review. I fear that if the CEO needs to run an inordinate amount of operational matters via the Board (including communication), fatigue will set in and little progress will be made. Mark. I believe that the CEO should be allowed to, and empowered to speak to the community on any and all operational issues without interference from the board and without approval from the board. Anything else shows a lack of trust in the CEO by the board ? in which case there is a problem to start with. Either the board trusts the CEO to do the job, or it doesn?t ? what should not be happening is that the board is attempting to do the CEO?s job ? which seems to be the case in many instances. I do not want to believe that the CEO was appointed as a figurehead or a puppet while the board takes over operational running of the company ? so please, let him do his job and be an effective CEO ? without interference beyond what is the standard role of a NON EXECUTIVE board I strongly suggest the board also review https://www.investopedia.com/terms/n/non-executive-director.asp But if that is TL;DR then the key points are here ? and in particular the second point * A non-executive director is a member of a company's board of directors who is not part of the executive team. * A non-executive director typically does not engage in the day-to-day management of the organization but is involved in policymaking and planning exercises. * A non-executive directors' responsibilities include the monitoring of the executive directors and acting in the interest of the company stakeholders. I invite you to firstly ? name the board members you believe did this ? and justify it ? put the evidence on the table ? and let us have a discussion around that. Im actually very curious to see what you come up with ? but I strongly suspect there will be nothing forthcoming ? or an answer of ?I don?t have to show you anything or justify anything I say? ? but ? let?s see ? walk the talk ? put your evidence forward and lets debate that evidence ? with specifics ? not vague generalities. While I appreciate your differing view point, I disagree with it. You are asserting that the Board are a placeholder to keep AFRINIC running because the CEO and staff are unable to. The Board's involvement has been too visible, even when Alan was the CEO. Moreover, many items that could have been communicated and/or co-ordinated by staff also came from the Board. So what is the point of the staff? I interacted with Board members, during Kampala earlier this year, worried about how they can enhance network resiliency for AFRINIC's services currently hosted in South Africa. I advised those Board members to leave these decisions to the AFRINIC staff, who are more than capable of dealing with this, even during the CEO transition. Mark. Ali, I think you are asking 2 different questions here: ??? - Will the Board continue to be the Board? ??? - Will our CEO give the Board airtime to communicate on Board matters? I won't speak on behalf of the CEO, I'll just speak to common sense and my own experiences. The Board will continue to perform their duties of supporting the CEO re: strategy and governance. No one is suggesting the Board be disbanded. However, I do believe that whatever message the Board wants the membership to hear should vessel through the CEO. It confuses the membership when some matters should be relayed by the Board, and others by the CEO. I have not read the bylaws on this, so I am not sure whether there is any specific provision that dictates what the Board SHOULD communicate, CAN communicate and MUST communicate. If the bylaws do not make such a provision or leave a lot of wiggle room, I'd default to the CEO being the person who communicates with the membership. It does not take the Board's function away. In fact, it enhances accountability, stability and uniformity. Lord knows the membership are craving these principles. At work, the people in my team have probably never heard from the Board of my organization. I don't expect them ever to, and yet that Board determines their overall well-being as employees. Mark. From ali at hussein.me.ke Fri Nov 8 03:54:12 2019 From: ali at hussein.me.ke (Ali Hussein) Date: Fri, 8 Nov 2019 06:54:12 +0300 Subject: [Community-Discuss] Operational Matters In-Reply-To: References: Message-ID: Mark Your points are noted. Let me make one or two points clear. 1. There is a clear separation of duties between executive and board. I'm not suggesting that the Board usurp the role of the CEO. Or vice versa. I'm simply saying there are issues that the CEO CANNOT purport to speak for the board. This is basic corporate governance 1o1. For example, if there's an issue with the NomComm or HR & Governance committee pertaining to the conduct of a senior executive or the CEO himself, there will be a clear conflict for the CEO to address such matters. 2. If the community is unclear between the roles of the Board and the CEO then I suggest that they read up on this and/or Afrinic endeavors to capacity build the community on the same. Ooh...About your team at your organization probably not ever hearing from the board...Well...I can't say much about that coz company cultures are different. However, let me tell you this:- A board that is detached from the rest of the organization, seemingly like they are some demi-gods, is one of the reasons that companies lose their way..There's a fine balance between 'interference' and 'neglect'. We must ensure that Afrinic doesn't suffer from this. One last point. The chairperson of a board is supposed to represent the board in such matters. Not the CEO. This MUST be made clear. Board matters are Board matters. He/she is First Among Equals. We must ensure that Afrinic doesn't suffer from this. You are interpreting my comments about my organization's Board as them being detached from the organization. That is not what I said, and you are welcome to re-read my e-mail. I said my staff (the ones that report to me) would not typically be involved with the Board. However, I, and upper management, are more likely to be involved with the Board. I'm sure you get this. The depth of structure of an RIR's governance is a lot simpler than that of an organization such as ours, i.e., the membership are more likely to run into and interact with the Board as a matter of course than, say, all the staff at a highly structured organization would theirs. So no, I'm not advocating that AFRINIC members do not speak to the Board, and I am sure you know that. > > One last point. Again, grateful if the CEO can dumb it down for us. I could read it for myself, but in the interest of the avoidance of any doubt, nothing beats the horse's mouth. I'm getting old and lazy, so this sort of thing is helpful. Mark. -------------- next part -------------- An HTML attachment was scrubbed... Of course, what it can be done, but this is up to individual decision of each AFRINIC meeting participant is to tell them ?sorry, you?re a spammer and violate people privacy collecting their emails, I?m not doing to talk to you, go away from me?. Be sure that I will do that, if they approach me! That said, I?m completely against SPAM, and collecting emails. There is no *any* valid reason you can use emails even if they are in whois, or whatever, for marketing. That?s spam. In the case of EU citizens or residents, if I get any of those marketing emails, you can make sure that will open a case in the Data Protection Agency, and it typically means a fine of up to 20.000.000 Euros. This apply also to some countries that signed the GDPR, such as Mauritius. In the last few years (even before GDPR, as we had a similar framework, with fines of up to 600.000 Euros), I?ve initiated about 2.000 claims, so I know very well how easy (and online with a digital certificate) is to do that. As a consequence they will get their compliance with the GDPR checked and a fine according to the level of lack of compliance and the actions against GDPR that they have done (such as collecting emails without an explicit authorization of the owner, or sending spam without an explicit consent). I don?t know if other countries from AFRINIC service region also signed it, but even if not, there may be specific regulations protecting your privacy or against spam, in each country. Of course, unless in our code of conduct we state explicitly that anyone using the whois or collecting emails from the lists will be ban to participate in the meetings. I agree that banning them from attending the meeting would be unacceptable. However, if the community finds their business practices sufficiently inappropriate, then I have no problem with the idea that the community can encourage the board to prohibit them from exhibiting at the meeting. The standards for participation (open to all) and exhibiting (businesses attempting to solicit relationships) have very different goals and requirements. Makes sense to me, but only if both the brokers and the interested RIR members abide by these rules. What I see more likely happening is either side finds this opt-in/out ineffective. If we somehow block the spamming and can control who attends the meetings, they'll just sidebar all their meetings in and around the conference venue, which we definitely cannot control. So for me, making sure the community fully understands this at an intellectual, commercial (and if possible, legal) level is our best defence at making sure nobody is duped into doing something they don't understand or don't really want to do. If we somehow block the spamming and can control who attends the meetings, they'll just sidebar all their meetings in and around the conference venue, which we definitely cannot control. I?ve asked the staff/board to verify the information about who is behind Benjamin. This is possible and easy, you just need a policy claim to investigate the case asking Google to confirm if Benjamin is ?x? and IP addresses (which in turn can be verified with the ISP). We had sufficient information to conduct such claim. My understanding is that they objected to do so. This, in my opinion, is setting a very bad precedent: ?You can ignore the code of conduct, because we aren?t going to ask for an investigation?. The board is still in time to proceed with such claim. As much time passes, less chances to get the correlation of the IP addresses. Otherwise, they will have NO RIGHT in the future, to enforce the code of conduct with other, because then the board can clearly be accused of discrimination: either you follow the code of conduct with all the same way, or you don?t use it at all and just trash it. Brokers (and in particular, brokers who spam) can't be guaranteed to register, or more specifically, follow the rules. They could just show up as regular hotel guests, not register for the conference, and reach out to AFRINIC members like they did me and many others, to organize sidebar meetings, cocktails, dinners, e.t.c. This, I believe, is far more likely than anything else above-board. They were asking for a 1 year minimum validity passport, and mine was only valid for 9 months at the meeting time ?. Then the Madrid consulate said they only need 6 months passport, but same problem of only 60 days before the meeting, which was impossible for me, because I was *all the time traveling* in that period ? And they said ?ah by the way, our system is broken, so we don?t know when we will be able to do visas ?? Then the online system reports that you need to do the biometry in the consulate ? and the consulate told me ?even when we fix our system, we don?t know yet when, we don?t have access to the on-line system so there is no way we can validate your visa biometry ?? wow! Finally, just in case, I renewed my passport anticipately ? tried the electronic system and with the support of the local host which provided a few documents (they reacted in a matter of few hours, thanks a lot for that!), in a couple of days, I got the visa without the need of a physical biometry validation in the consultate. The way I see it, the thread was about a spamming broker. Why then insult an independent unrelated individual. Perhaps stopping these practices will help the community. As repeated many times, our emerging, multicultural community requires care and attention when interacting and dealing with people and above all collective responsibility. We have a code of conduct and we expect it to be enforced on the lists and at meetings by people entitled to do so. We may revise the CoC on the go with the end goal of no more CoC as everyone behaves correctly. We will all benefit from leading by example and acting as role models expecially from those who have served in various leadership positions in the past. The way I see it, the thread was about a spamming broker. Why then insult an independent unrelated individual. Perhaps stopping these practices will help the community. The same principle applies: there have been multiple people and organisations who have in the past violated the rules of appropriate behaviour. I agree with Andrew that they should still not be refused access to meetings. But those people should also consider whether it is a good idea to visit a community meeting whose rules they have (in some cases blatantly) violated. Exactly. People who want to come to meetings after they have mended their ways should be able to do so. And those who continue to misbehave should be told to leave as soon as they demonstrate that they haven't learned how to behave properly yet. But those willing to learn and improve their behaviour should be able to do so. > We will all benefit from leading by example and acting as role models expecially from those who have served in various leadership positions in the past. I fully agree, and I hope the board will take your advice. Cheers, Sander
