To clarify the issues around the minutes of the Board meeting of 11 May 2016: 1. Haitham el Nakhal requested not to chair any part of the meeting because his audio quality was poor. 2. Aminata Garba was disconnected from the meeting due to technical difficulties, before the nominations were discussed. She neither voted not recused herself, because she was not present at the time. Please see the response to the issues raised: The AoB of the ?Minutes of the Board Meeting Held on Thursday 11 May 2016 AT 15:27 UTC? on ?Requirement to resign from other positions when accepting a nomination to the Board? is raising two questions that is raising eyebrows in the community and need to be addressed. Not surprising. Why this situation of conflict, well known to the Board, was not included in the TOR on which the NomCom2016 run the elections of Botswana? There is no reasonable way to answer a question like ?Why did the Board not do a better job of predicting the future?? The Elections TOR was approved before the call for nominations was made. Since the board is directing the NomCom2016 to include this situation of conflict in their report to the community, could you please tell us whether NomCom2016 is now accountable to the community or not. NomCom is appointed by the Board, and reports to the Board in terms of the Bylaws section 9.2. The Board may instruct NomCom to present a report to the membership or the community. This is the spirit with which the Board discussed in http://afrinic.net/en/about/bod/meeting/2016/1809-minutes-20161105**Where it decided that the NomCom2016 should include that situation in their report to the community. Other matters that may be of interest to the community include: Is it OK for somebody to be a Director and also to hold a position in another committee or working group? Certainly not for a Director to also be a PDWG Co-Chair. If not, then when should they resign from other positions? On being nominated, or on the candidate slate being announced, or on being elected? Who should decide the rules? Most reasonable to allow the Board to do this, in consultation with the Community. Where should the rules be written? The Board thinks that the election guidelines would be a good place for most of the rules, but perhaps some of the rules are important enough to appear in the Bylaws. Comments are welcome on this. On being nominated, or on the candidate slate being announced, or on being elected? Actually, I would argue that there is no reason they should have to resign their current position until the moment before their term of service begins in their newly elected position. It makes no sense to me that someone should resign an existing position before they know that they have been elected to the new position. In AfriNIC, the distinction between election and start of term of service is very short (perhaps minutes) IIRC, so this could be a distinction without a difference in this case, but that may not always remain the case. In ARIN, for example, elections take place in October, but we don?t start our term of service until January. If I were to run for and be elected to the ARIN board, it would not make sense for me to resign from the AC prior to December 31 for my Board Term starting in January. (Relax, this is just an example, I am not planning to run for ARIN board). If, at some point in the future, AfriNIC chooses to go to a delayed transition to facilitate a more orderly succession process (newly elected AC members work with the existing AC members between October and December to come up to speed on AC processes, though they do not participate in debate or voting), then this distinction would become more relevant. However, while we are writing rules, I think that requiring resignation prior to assuming the new office makes more sense as it works in both scenarios without having to be touched in the event of a change between the current process and one of delayed transition. > Who should decide the rules? Most reasonable to allow the Board to do this, in consultation with the Community. I agree with this. However, when should the rules be changed also merits discussion IMHO. It is not a good idea to change the rules in the months leading up to an election. In fact, IMHO, the best time to change the rules is immediately after the election so that the lessons learned from the previous election are still fresh and can be best applied in the creation of new rules. This also has the virtue of providing maximum notice period on the new rules prior to the next election sequence. > Where should the rules be written? The Board thinks that the election guidelines would be a good place for most of the rules, but perhaps some of the rules are important enough to appear in the Bylaws. I trust the board?s judgment on the placement of such rules/guidelines. Owen > -------------- next part -------------- An HTML attachment was scrubbed... The associated documents may also be found at . This call for public comment seeks community input on three agreements concerning intellectual property rights (IPR) related to the IANA stewardship transition: - IANA IPR Assignment Agreement - IANA IPR License Agreement - IANA IPR Community Agreement Comments are due by the deadline of September 12, 2016 at 23:59 UTC. Comments should be submitted via email to . Commenters should clearly reference to which of the agreement(s) their comments apply. The ICG web site is being used as a neutral site to host this call for public comment, but the agreements are not a product of the ICG. Background The Proposal to Transition the Stewardship of the Internet Assigned Numbers Authority (IANA) Functions from the U.S. Commerce Department?s National Telecommunications and Information Administration (NTIA) to the Global Multistakeholder Community includes a requirement for certain IPR associated with IANA to be transferred from ICANN to an entity independent of the IANA functions operator. The IPR consists of trademarks and domain names. After discussion within the operational communities and the IETF Trust, the IETF Trust indicated that it would be willing to hold the IANA IPR. The IETF Trust is a Virginia common law trust created in 2005. Among other things, the IETF Trust was created for the purpose of acquiring, holding, maintaining and licensing certain intellectual property for the advancement of the science and technology associated with the Internet and related technology. The IETF Trust agreed to hold the IANA IPR in the service of the affected Internet operational communities. Representatives from the names community, the numbers community, the protocol parameters community, the IETF Trust, and ICANN have drafted a set of agreements to effectuate the transfer of the IANA IPR from ICANN to the IETF Trust and to govern the relationships amongst the parties with respect to the IPR after the transfer. These agreements are: (1) IANA IPR Assignment Agreement. This agreement transfers the IPR from ICANN to the IETF Trust. (2) IANA IPR License Agreement. This agreement allows for the IANA functions operator to use the IPR. The document available for public comment is a basic form that will be used to generate three license agreements, one each for the names, numbers, and protocol parameters IANA services. Items highlighted in yellow will vary by agreement and will be completed once the License Agreement is split into three. In each case the licensee is ICANN, with the ability established for ICANN to sublicense to PTI. (3) IANA IPR Community Agreement. This agreement explains the rights and obligations of the IETF Trust and each operational community as regards the IPR. The IETF Trust, the operational communities, and ICANN hereby solicit feedback as to whether the draft agreements address the needs of the affected communities. I see it as unfortunate that both ICANN board members from the Africa region in this ICANN NomCom selection come from North Africa. I see it as loss of geographic diversity as well as loss of diversity in community representation in this selection and in the resulting ICANN Board representation. I do not blame this on North Africa, the rest of Africa simply needs to push for and move forward into occupying such positions and NomCom needs to look out for such disparities. It is my hope that this unfortunate ICANN Board distribution is not because there were no good applicants from the rest of Africa, did the ICANN NomCom fail to attract good enough candidates from the rest of Africa? Nomcom's charge is to work in the best interest of the global Internet community. As such, the diversity provisions they have are only to ensure that at all times every geographical region is represented on the Board and nothing more. Any intra-region representation/diversity you may expect is not for Nomcom to deliver. Further, your complaints about Nomcom can be construed as a vote of no confidence on the new Board members' ability to adequately represent the continent, which, again, I don't think is justified. While I appreciate Africa's geographical diversity, I don't see any reason that could render them incapable of representing the rest of the continent. On the contrary, the nature of work and safeguards at ICANN won't afford them the opportunity to advantage one part of the continent at the expense of another even if they wanted to. In the end, instead of pointing one fingure at Nomcom, we should remember the four point at ourselves. This issue could have been resolved if we sent more competent candidates from Malawi, Uganda and other countries. This is what we should do in the future. Well, you are conflating black and African and assigning anyone on this continent who is not suitably pigmented to some scrap heap. Of course ignoring my pigmentary enhahnced colleagues on the board who do not originate from this continent and are therefor equally cast aside. So Africans who are not ?black enough? don?t count and people who are ?black enough? but are not ?African enough? don?t count either? And if it is a question of ?blackness? then how do you test that? Or do we have to go back to the "pencil tests" employed by apartheid racists to determine blackness by seeing if a pencil inserted in the hair would stay (you are black) or fall out (you are white). For what it is worth, pencils stay in my hair. I really think this is about to descend into the realm of the ridiculous. > I remember my interest in ICANN was actually provoked by the days when Alice, Katim et al were on the board. > Maybe you need to test your memory, Alice has not served on the ICANN board. I have fond memories of time served with Katim, but I think you do a disservice to Nii, Njeri, Mouhamet and Fadi. I have been privileged to serve with many fine people on the board, many of whom amaze me with their knowledge, energy, dedication and contribution. At the same time there are many passengers (I hope I am not one). Origin is not an indicator of contribution and there are people from both groups from all of the regions. Simply demanding more ?blackness? does a disservice to those Africans who have contributed at every level in all of the I* organisations. They are there because of their capability and contribution and not as decoration. > Without doubting the capability of the incoming members, it is important that Nomcom takes the issue racial diversity alot more seriously. Oh, that?s right - he was not ?black enough?. Find the right candidates and they will get there, on their own merits and not on some quota system or as window dressing to a more systemic issue. As Paulos notes in his final submission, if you try to do regional diversity within the African context you will get exactly to what I am saying in a more blunt way :-). ?I have had the opportunity to travel across Africa and for sure the North African or the South Africa (.za) experience is far from the Sub-saharan African experience.? Ofcourse on the flip side, a heavily pigmented Malawian African rep on the ICANN board may cause similar reactions from the North African audience. They may not 'identify' with him or her. ?So it is not a call for removing anyone, but rather one of trying to include 'everyone' based on the African realities that obtain on the continent. Nomcom should be sensitive to these subtle diversities going forward. walu NB: And you are right Alice was never on the ICANN board but on the GAC. And yes Njeri, Prof. Nii Q, Fadi were also there. But its Katim & Alice I interacted most with respect to ICANN i.e introduced me to ICANN, hence they quickly came to my typing fingers. ?After all, that is WHY ICANN is trying to be as 'international' as it can get. ?Why not begin at the top? How easily had Fadi been forgotten? Or is the CEO not ?at the top? enough? Oh, that?s right - he was not ?black enough?.? Find the right candidates and they will get there, on their own merits and not on some quota system or as window dressing to a more systemic issue. On the NomCom all I am saying is that, and others have already agreed, that they are the ones who open up the process, conduct the process and then make the final selections. If you agree with the observation as above then definitely there is a role that NomCom can play - or - should play Those of us in the community where the "four fingers" are pointing also have a role to play such as in generating more suitable and more diverse candidates that NomCom can work on, I do not dispute that and I have already said that. This does not reduce how glaringly disparate the observed situation is and no one in this discussion is challenging the observation. So, like Walu, I am partly attracted to the ICANN system partly because it tries to be adequately representative on the global scene, all I am saying is that that good quality seems to have been missed here.
