Dear colleagues,
On behalf of the Bylaws Review Committee (BRC), we would like to thank everyone who participated in both the initial and second rounds of the community consultation on the review of AFRINIC’s Constitution. The Committee greatly appreciates the time, effort and constructive feedback received from across the community.
The BRC has commenced its review of the feedback received during the second round of consultation. As previously indicated, the Committee has also obtained an independent external legal opinion on the possible inclusion of a dispute resolution clause in the Constitution, as well as on the legality of the Board’s discretionary and residual power to terminate resource membership, subject to appropriate legal safeguards.
Having carefully considered the matter, the Committee is of the view that, apart from the amendments already proposed, it does not, at this stage, intend to recommend the inclusion of a specific dispute resolution clause in the Constitution.
With respect to the scope of the Board’s discretionary power to terminate the membership of a Resource Member, the Committee is considering various options aimed at further strengthening the existing legal safeguards applicable to the exercise of such power.
The community will appreciate, however, that the legal opinion obtained by the Committee on these matters is legally privileged and confidential in nature and therefore cannot be disclosed.
In light of the above, and in the interests of transparency and ensuring that the community has an opportunity to provide further input on these matters, the Committee considers it appropriate to continue receiving input while it continues to review and consider the submissions received to date. This consultation will remain open until Sunday, 30 August 2026 at 23:59 UTC.
